BioXcel Files Chapter 11; Teva Bids Up to $125M for BXCL501

BioXcel Therapeutics (Nasdaq: BTAI) filed for Chapter 11 bankruptcy on Thursday, August 27, and named Teva Pharmaceuticals (NYSE: TEVA) its stalking-horse bidder, the opening offer that sets a floor price for its assets in a court-supervised auction. Teva’s bid: $57.5 million upfront plus up to $67.5 million in milestones, a $125 million ceiling. BTAI closed at $0.18 on Friday, August 28, on volume of 58.6 million shares. Teva closed at $36.44.
The asset worth bidding on is BXCL501, a dexmedetomidine sublingual film. Dexmedetomidine is a sedative that calms patients by activating alpha-2 adrenergic receptors. BioXcel already sells an in-hospital version, IGALMI, for acute agitation in schizophrenia and bipolar I or II disorder, given under a healthcare provider’s supervision. The version Teva wants is the at-home (outpatient) label, now under FDA review with a PDUFA date, the agency’s deadline to decide on an application, of November 14, 2026.
The milestone structure ties Teva’s payout to that date. BioXcel receives the full $67.5 million if the FDA approves BXCL501 by the November 14 PDUFA. If the agency misses that target but approves by February 27, 2027, the milestone shrinks to $55 million, followed by smaller regulatory payments and net-sales royalties. Teva has already deposited $5.7 million in good faith.
For Teva, this is a disciplined, low-cost bolt-on under its pivot-to-growth push from generics into innovative neuroscience. Teva closed its up-to-$900 million Emalex Biosciences acquisition in June. BXCL501 holds a Breakthrough Therapy designation for agitation in dementia and Fast Track status in schizophrenia, bipolar, and dementia.
Agitation episodes in schizophrenia and bipolar disorder are frequent, unpredictable, and distressing for patients and caregivers, and today’s in-hospital label means a healthcare provider must be present to give the film. An at-home label would let caregivers act during an episode before it escalates to an emergency visit. A parallel program in Alzheimer’s dementia agitation gives the asset a second shot on goal.
BioXcel is a live case study in the bankruptcy red flags this site has tracked. The company warned in its June 30 10-Q that it lacked cash to operate through August, and it entered Chapter 11 with a $19 million debtor-in-possession loan to fund the sale process. BTAI equity is now a stub: its value depends almost entirely on whether another bidder tops Teva in the auction.
The single binary event is the November 14 PDUFA. An approval hands BioXcel the full milestone and validates Teva’s thesis; a miss cuts the payout to $55 million and pushes the at-home label into 2027. Watch the auction result in the coming weeks, then the FDA decision.
