GOSS Seralutinib NDA Filed After 1-for-80 Split

Gossamer Bio (NASDAQ: GOSS) submitted its first New Drug Application to the FDA on September 23 for seralutinib, its inhaled PDGFR and CSF1R kinase inhibitor, for pulmonary arterial hypertension (PAH). The filing follows a June Pre-NDA meeting in which the FDA characterized the degree of statistical significance and the magnitude of the treatment effect in the Phase 3 PROSERA study as “review issues rather than filing issues.” GOSS closed at $10.93.

The submission caps a brutal turnaround. In February, PROSERA missed its primary endpoint of six-minute walk distance, delivering a placebo-adjusted +13.3 meters with a p-value of 0.032 against a 0.025 threshold. In July, Chiesi exited its licensing deal, paying Gossamer $5 million to unwind a partnership once worth up to $486 million. In August, Gossamer raised up to $250 million in a structured private placement, $150 million of it committed. On September 10, the company executed a 1-for-80 reverse stock split to regain Nasdaq compliance. At a market cap near $78 million, Gossamer is betting its remaining runway on this filing.

Seralutinib is an inhaled kinase inhibitor that targets PDGFR and CSF1R, aiming at the vascular remodeling that drives PAH rather than just dilating blood vessels. PAH is a rare but deadly disease affecting roughly 30,000 to 50,000 people in the US, and existing drugs from United Therapeutics and Johnson & Johnson mostly relax blood vessels rather than slow the underlying vessel-wall thickening. Gossamer is also developing seralutinib for pulmonary hypertension associated with interstitial lung disease, a second, larger population that could broaden the drug’s reach if the PAH filing succeeds.

The NDA rests on PROSERA, a 390-patient trial that randomized patients to inhaled seralutinib or placebo, as one adequate and well-controlled study, plus confirmatory evidence from the Phase 2 TORREY trial, which met its primary endpoint of pulmonary vascular resistance reduction.

The market is treating FDA acceptance as the near-term binary. If the agency accepts the filing, seralutinib could see a decision in the third quarter of 2027, and the $125 million second closing of the financing would fund. The earlier look at the PROSERA failure explained why a filing after a missed primary endpoint is a regulatory long shot. See the company’s submission announcement for the full terms.

The risk is stark: the FDA could refuse to file, or accept and later issue a complete response letter, leaving a company with one asset and no revenue. What to watch next is whether the FDA accepts the NDA for filing later this year, a decision that would trigger the second tranche of capital and start the Q3 2027 approval clock.

What It Means for the Trade

This is a binary with a compressed capital structure behind it. A ~$78 million market cap after a 1-for-80 reverse split, one asset, no revenue, and a financing where the $125 million second closing is gated on FDA acceptance — the acceptance decision later this year is not just a catalyst, it is the funding event. If the FDA refuses to file, Gossamer is a company with a missed Phase 3 primary endpoint, no partner (Chiesi paid $5 million to walk), and a runway measured in quarters. If the agency accepts, the Q3 2027 clock starts and the balance sheet survives to the verdict.

The bull case is a regulatory-arbitrage trade, not a science trade. The FDA’s own Pre-NDA meeting characterized PROSERA’s statistical significance issues (p=0.032 against a 0.025 threshold on six-minute walk distance, a +13.3-meter placebo-adjusted effect) as “review issues rather than filing issues” — agency language suggesting the door is open. And there is structural support: the FDA has historically been more receptive to single-study NDAs plus confirmatory evidence in rare, deadly diseases with few approved options. PAH patients are treated for years with drugs that mostly dilate vessels; seralutinib is aiming at the proliferative remodeling underneath. A Q3 2027 approval would make it the first anti-remodeling oral inhaled mechanism in the space.

Mechanism and Pipeline Context

Seralutinib is an inhaled kinase inhibitor targeting PDGFR and CSF1R — two receptor systems that drive the abnormal growth of pulmonary artery wall cells. Where standard PAH therapy (prostacyclins, endothelin receptor antagonists, PDE5 inhibitors from United Therapeutics, J&J’s Actelion franchise) relaxes constricted vessels, seralutinib’s target set addresses the vessel-wall thickening that progressively narrows the vasculature. Inhaled delivery concentrates the drug where the disease is, limiting systemic exposure. The NDA rests on PROSERA (390 patients, the adequate and well-controlled study) plus the Phase 2 TORREY trial’s pulmonary vascular resistance reduction as confirmatory evidence — the single-trial-plus-evidence structure the FDA permits in narrow circumstances.

The pipeline lever is pulmonary hypertension associated with interstitial lung disease, a larger population where the same anti-remodeling mechanism would face less entrenched competition — but that program only has a path if the PAH filing survives.

Risks and What Could Go Wrong

  1. Refuse-to-file — the FDA declines to accept the NDA, the second financing tranche never funds, and the company is restructuring or worse within quarters.
  2. Accept-then-CRL — a filed application still ends in a complete response letter in 2027; the missed primary endpoint and borderline p-value remain review liabilities.
  3. Dilution along the way — even the bull path requires cash past Q3 2027, and micro-cap biotechs fund that by issuing stock at whatever the market bears.
  4. Competitive stasis — if accepted and approved, the drug still launches against entrenched multi-drug PAH regimens that physicians know how to sequence.
